Terms of Service

Agreement to Terms

By accessing or using WatchMatrix ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

Description of Service

WatchMatrix provides a cloud-based watch inventory management platform that includes AI-powered pricing, customer relationship management (CRM), multi-channel sales integration, and analytics tools for watch dealers and collectors.

Account Registration

To use the Service, you must:

  • —Be at least 18 years old and able to enter into legally binding contracts
  • —Provide accurate, current, and complete registration information
  • —Maintain the security of your account credentials
  • —Notify us immediately of any unauthorized access
  • —Be responsible for all activities under your account

Subscription and Payment

Billing

The Service is offered on a subscription basis. You agree to pay all fees according to your selected plan. Fees are non-refundable except as required by law or as expressly stated in these Terms.

Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method for renewal fees.

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds will be provided for partial months or unused features.

Acceptable Use

You agree not to:

  • —Transmit viruses, malware, or harmful code
  • —Attempt to gain unauthorized access to the Service

Your Content

Ownership

You retain all ownership rights to the content you upload to the Service (inventory data, customer information, images, etc.). You grant us a license to use, store, and process your content solely to provide the Service.

Responsibility

You are responsible for:

  • —Maintaining backups of your data
  • —Compliance with data protection laws regarding customer information

Intellectual Property

The Service, including all software, designs, text, graphics, and trademarks, is owned by WatchMatrix and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works without our permission.

Third-Party Services

The Service may integrate with third-party services (Shopify, eBay, etc.). Your use of third-party services is subject to their terms and conditions. We are not responsible for third-party services or their availability.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WATCHMATRIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM YOUR USE OF THE SERVICE.

Indemnification

You agree to indemnify and hold harmless WatchMatrix from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your content, or your violation of these Terms.

Termination

We may suspend or terminate your access to the Service at any time for:

  • —At our discretion with 30 days' notice

Upon termination, you will lose access to your account and data. We may delete your data according to our data retention policy.

These Terms are governed by the laws of the United States. Any disputes shall be resolved in the courts located in the United States.
